Terms of Service

Version 2026-10-13

COACTA TERMS OF SERVICE

Effective Date: 2026-10-13
Governing Entity: Coacta Corp, a Delaware corporation ("Coacta," "we," "us," or "our")

1. Acceptance

By creating an account or using the Coacta mobile app, website, or related services (the "Services"), you agree to these Terms, our Privacy Policy, Community Guidelines, Safety Guidelines, and (where presented in onboarding or the app) our Assumption of Risk acknowledgment.

You represent that you are at least eighteen (18) years old and have capacity to enter into these Terms.

If you use the Services on behalf of a club, team, school, gym, or other organization, you represent that you have authority to bind that organization to these Terms for that use.

2. Eligibility

You must be at least eighteen (18) years old to create an account or use the Services. The Services are intended only for adults. We collect date of birth to enforce this rule.

If you are under 18, do not use the Services. If we learn an account belongs to someone under 18, we will delete the account and related personal data as described in our Privacy Policy. Misrepresenting your age is a material breach and may result in suspension or termination.

3. Description of Services

Coacta is a sports coordination platform. The Services may let you:

- Create, discover, and RSVP to planned multi-sport activities (for example running, cycling, swimming, golf, climbing, lifting, tennis, basketball, and other fitness activities)
- Form or join clubs, teams, and similar groups (including chat, polls, and announcements where enabled)
- Connect with friends, message other users, and view feeds and calendars of upcoming activities
- Share availability windows (where offered) and set discovery preferences such as a home area and radius
- Build, import, and store routes and structured workouts, and export them to a file for use in other apps
- Join groups that require you to accept the group's own waiver before you can see their activities
- Post or join activities marked for a single gender, where we offer that option
- Browse an events catalog of races and similar listings, which may link to third-party registration sites
- Access optional paid or entitlement-gated features when we offer them

Coacta helps people plan and coordinate training and meetups. We do not operate as a GPS workout recorder, performance analytics service, medical advisor, or event safety authority.

Coacta is a neutral technology venue. Unless we clearly designate an official Coacta-hosted event, we do not organize, host, supervise, or control user activities or clubs; we do not perform background checks; and we do not guarantee safety, attendance, accuracy of listings, or outcomes of meetups.

4. Accounts and security

Provide accurate information (including accurate date of birth) and keep credentials secure. You are responsible for activity under your account. Notify us promptly at support@coacta.com if you believe your account has been compromised.

We may suspend or terminate accounts for Terms or Guidelines violations, safety concerns, fraud, age misrepresentation, abuse of the Services, or illegal activity.

You may delete your account from Account information in the app. Deletion removes your account and associated personal data we are not legally required to retain, subject to the Privacy Policy.

5. User content and license

"Content" means anything you post, upload, send, or make available through the Services, including profiles, activity posts, photos, videos, comments, club materials, chat and direct messages, polls, and similar materials.

You retain ownership of your Content (subject to others' rights). You represent that you have the rights needed to share it and that it does not infringe others' rights or violate these Terms or our Guidelines.

To operate the Services, you grant Coacta a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt (for display/format), distribute, and display your Content as needed to provide, secure, and improve the Services and as described in the Privacy Policy. This includes showing your Content to other users according to the visibility settings that apply.

Except where Content must remain for legal, safety, or operational reasons (for example copies in others' inboxes, backup systems for a limited period, or club materials needed for a club you administered), this license ends when your Content is deleted from our systems or your account is deleted. Deleting Content or your account does not require us to remove Content that other users have lawfully retained (for example messages they received) or Content we must keep under law.

We may remove or restrict Content that violates these Terms or our Guidelines, or that we reasonably believe creates safety, legal, or operational risk.

6. Clubs, teams, and group administrators

If you create or administer a club, team, or similar group on Coacta, you are responsible for:

- Complying with these Terms and our Community Guidelines in how the group is run
- Having rights to use names, logos, banners, and other materials you associate with the group
- Not claiming affiliation with Coacta, or impersonating Coacta, without our written permission
- Moderating group spaces you control (including chat, polls, and announcements) in line with our Guidelines
- Not using the group primarily to run scams, unlawful promotions, or misleading contests

Group waivers. We let a group require its own waiver that members must accept before they can see that group's activities or chat. If you set one up:

- The waiver is your document, not ours. Coacta does not write, review, approve, or endorse it, is not a party to it, and takes no position on whether it is enforceable
- You represent that you have authority to require it, that its terms are lawful where your group meets, that it does not purport to waive rights that cannot be waived, and that it does not purport to bind anyone other than the member accepting it
- It may not be used to collect personal information outside Coacta, to require payment, to claim rights in a member's Content beyond what these Terms already grant, or to disclaim liability in a way the law does not allow
- Editing or replacing a waiver requires every member to accept the new version

If you are asked to accept a group's waiver, you are agreeing with that group, not with Coacta. Accepting it does not change these Terms. Nothing in a group waiver limits your rights against Coacta, expands Coacta's obligations to you, or transfers any of that group's responsibilities to us; as between you and Coacta, these Terms control.

We record which version you accepted and when, as described in the Privacy Policy. We may remove a waiver, or the group, if we believe the waiver is unlawful, deceptive, or being used to evade these Terms. We do not mediate disputes between members and group organizers about a waiver.

We may remove group Content, demote or remove administrators, transfer or close a group, or restrict group features when we believe it is needed for safety, Terms enforcement, inactivity, or legal compliance. Ownership transfer requests may require verification we reasonably request.

7. Communications

The Services may include club chat, direct messages, comments, nudges, notifications, and similar features. You are responsible for what you send. Communications are your Content and must follow these Terms and our Community Guidelines.

We may review, preserve, or disclose communications when you report something, when we investigate possible abuse or safety issues, when required by law, or as otherwise described in the Privacy Policy. Do not assume that messaging is confidential from Coacta when those circumstances apply.

We are not a party to your conversations with other users and do not endorse messages from other users or third parties.

8. Location, maps, and discovery

Some features use location information you provide or permit—for example an activity start point, a club address or area, a discovery location and radius, or map displays of race listings. We do not continuously track your device in the background for workout recording, and we do not offer live "beacon" style tracking of your movements.

Routes are different from tracking. When you build a route or import one from a file, we store its full path, including elevation and any timestamps the file contains. That is a route you asked us to save, not a record of where your device has been. Because a route you import may describe an activity you actually completed, treat sharing one with the same care you would give a start location.

You accept the safety and privacy risks of sharing location-related information through the Services, including that start locations and discovery settings may help others find where activities meet. Use visibility controls and common sense. To the maximum extent permitted by law, Coacta is not responsible for how others use location information you choose to share.

9. Visibility and privacy controls

Activity posts, profiles, and related Content may be visible to friends, club members, the public, or selected users depending on the settings you choose. You are responsible for selecting appropriate visibility.

Except as described in the Privacy Policy and your chosen controls, Content you make available is not subject to an expectation of privacy from other users who can see it.

10. Interactions with other users

Coacta is a venue for users to coordinate with each other. We do not vouch for other users' identity, age (beyond the limited checks we implement), skill, intentions, or conduct online or in person. Use good judgment, follow the Safety Guidelines, and use Block and Report tools when needed. You interact with other users at your own risk.

11. Third-party events, links, and services

Our events catalog and similar listings may include information from public sources and links to third-party registration or organizer sites. Coacta does not organize those races or events unless we expressly say so. Third-party sites have their own terms and privacy practices; your dealings with them are solely between you and them.

Maps, authentication, push delivery, payment processors (when used), and other infrastructure providers are third parties. We are not responsible for third-party products or services, even if linked or recommended from the Services.

12. Paid features and subscriptions

Some features may be free; others may require a paid subscription, in-app purchase, or other entitlement. Prices, taxes, billing periods, and available plans will be shown at purchase.

If you buy through the Apple App Store or Google Play, payment and cancellation are handled under that store's rules and your store account. If we offer direct web billing later, we will describe those payment terms at checkout.

Subscriptions renew automatically until canceled according to the applicable store or billing flow. Cancel before the renewal cutoff shown by the store or in the purchase flow to avoid the next charge. Except where required by law or expressly stated by us or the store, fees are non-refundable. Free trials, if offered, convert to paid access unless canceled in time.

Referrals and promotional codes. We may run a referral program or issue promotional codes that grant paid features for a limited time. Where we do:

- Rewards have no cash value, are not redeemable for money, and may not be sold or transferred
- A referral reward requires the referred person to be a genuine new user who completes signup as the program describes. Referring yourself, creating accounts to earn rewards, using another person's information without permission, or otherwise gaming the program breaches these Terms
- We may withhold, reverse, or revoke rewards and codes obtained through abuse, error, or misrepresentation, and may suspend accounts used that way
- We may change, pause, or end a referral program or promotional offer at any time. Rewards already granted stay honored for the period stated when they were granted, except where revoked above
- Time granted by a reward or code is not refundable, does not extend beyond the stated period, and ends when your account is deleted

We may change prices or paid features with reasonable notice where required; changes typically apply on the next billing period.

13. Feedback

If you send ideas, suggestions, bug reports, designs, feature requests, or other feedback about Coacta ("Feedback"), you grant Coacta a perpetual, irrevocable, worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, distribute, display, perform, create derivative works from, commercialize, and otherwise use the Feedback for any lawful purpose, without restriction, attribution, or compensation to you.

You represent that you have the rights needed to provide the Feedback. Feedback is voluntary, and Coacta has no obligation to use it. This Feedback license survives termination of these Terms. This section does not change how personal information included in Feedback is handled under our Privacy Policy.

14. Conduct; Community Guidelines

You must follow our Community Guidelines, which are part of these Terms. You are responsible for your Content, communications, and in-person conduct related to activities coordinated through the Services.

Without limiting the Community Guidelines, you may not use the Services to engage in illegal activity, harassment, impersonation, spam, scraping or bulk automated abuse, posting infringing or harmful content, or contacting or soliciting minors.

15. Intellectual property; limited license to use Coacta

Coacta and its licensors own the Services, software, branding, and aggregated or de-identified data we create. Subject to these Terms, we grant you a limited, personal, revocable, non-transferable license to use the Services as provided.

You may not copy, reverse engineer (except to the extent such restriction is prohibited by law), scrape, or systematically harvest data from the Services; bypass access or age controls; or use the Services in a way that overloads or disrupts our systems. Automated access is prohibited except for public search engines indexing publicly available pages we choose to allow, or as we expressly permit in writing.

Some parts of the Services incorporate third-party and open-data material under their own licenses. Route information may be derived from OpenStreetMap data, which is © OpenStreetMap contributors and made available under the Open Database License; we attribute it in the app where it is used. Those licenses govern that material rather than these Terms, and nothing here claims ownership of it. Open-source component notices are available at contact@coacta.com.

"Coacta" names, logos, and product branding are our trademarks. You may not use them in a way that suggests endorsement or affiliation without our permission.

16. Copyright and trademark complaints

If you believe Content on the Services infringes your copyright or trademark, send a notice to the contact below with enough detail for us to locate the material and respond (including your contact information, a description of the work and the allegedly infringing material, a good-faith statement that use is unauthorized, and a statement under penalty of perjury that you are authorized to act). We may share notices with the user who posted the material.

Our designated agent to receive notifications of claimed infringement is:

DMCA Agent

Phone: (541) 480-5929
Email: contact@coacta.com

This agent is registered with the U.S. Copyright Office DMCA Designated Agent Directory.

Counter-notification: If your Content was removed and you believe the removal was a mistake or misidentification, you may send a counter-notification to the agent above, including your name, address, phone number, and email; identification of the removed material and where it appeared; a statement under penalty of perjury that you have a good-faith belief the material was removed as a result of mistake or misidentification; and your consent to the jurisdiction of the federal district court for your address (or, if outside the United States, any district in which we may be found) and to accept service of process from the complainant. We may restore the material in 10 to 14 business days unless the complainant notifies us that they have filed an action seeking a court order.

Repeat infringers: We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers.

17. Assumption of risk; no medical advice; disclaimers

Participation in physical activities and meeting people through the Services involves inherent risks, including injury, property damage, and interactions with strangers. Planned distance, pace, intensity, route notes, and similar fields are coordination aids only—they are not medical, coaching, or professional advice. You are solely responsible for deciding whether you are fit to participate and for your own safety.

To the fullest extent permitted by law, you assume those risks. Our separate Assumption of Risk acknowledgment (shown in onboarding where applicable) and Safety Guidelines form part of your understanding of these risks.

THE SERVICES AND ANY CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, COACTA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT CONTENT (INCLUDING ACTIVITY DETAILS, EVENT LISTINGS, OR USER PROFILES) WILL BE ACCURATE OR RELIABLE.

COACTA DOES NOT ASSUME RESPONSIBILITY FOR THE INSPECTION, SUPERVISION, PREPARATION, OR CONDUCT OF ANY RACE, CLUB SESSION, GROUP ACTIVITY, OR MEETUP THAT USES THE SERVICES.

18. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COACTA AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES, CONTENT, OR INTERACTIONS WITH OTHER USERS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT YOU PAID TO COACTA FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted.

19. Indemnity

To the maximum extent permitted by law, you will indemnify and hold Coacta and its directors, officers, employees, and agents harmless from claims, damages, losses, and reasonable attorneys' fees arising out of: your Content; your use of the Services; your participation in or organization of activities or meetups coordinated through the Services; your violation of these Terms or applicable law; or your violation of another person's rights.

20. Dispute resolution; governing law

Informal resolution first. If you have a dispute with us, contact us at contact@coacta.com with a short description of the issue, what you want, and your account email. We will try in good faith to resolve it with you. You agree to take part in this process for at least 30 days before starting a formal proceeding.

Governing law and venue. These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Exclusive venue for any dispute will be the state or federal courts located in Deschutes County, Oregon, USA, and you and Coacta consent to personal jurisdiction and venue there.

Small claims. Either you or Coacta may bring an individual claim in small claims court if the claim qualifies.

Nothing in this section limits any rights you have under the consumer protection laws of your home jurisdiction to the extent those rights cannot be waived by agreement.

21. Changes; termination; general

We may update these Terms. For material changes, we will provide notice that is reasonable under the circumstances (for example in-app or by email). Continued use after the effective date of changes means you accept the updated Terms. If you do not agree, stop using the Services and delete your account.

We may modify, suspend, or discontinue parts of the Services. We may suspend or terminate access as described in these Terms. Sections that by nature should survive (including Content license as limited herein, disclaimers, liability limits, indemnity, and dispute terms) will survive termination.

These Terms are the entire agreement between you and Coacta regarding the Services and supersede prior agreements on the same subject. If a provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, or sale of assets. No partnership or employment relationship is created by these Terms.
